Client-Coach Agreement *

1. During the coaching process, each of us will have access to confidential information made available by the other and each shall protect such information, not disclosing the information to anyone without the other’s express permission. 2. You shall own the deliverables of the process, which shall not include any proprietary products or methods I may use in the course of this process. Subject to our obligations of confidentiality, each of us shall be free to use the ideas, concepts, techniques and know-how used and developed in the process. 3. Neither shall be liable to the other for more than the fees paid under this arrangement, for any reason, including a claim based on breach of contract or negligence. Neither party will be liable for consequential, indirect or punitive damages. 4. Unless I expressly assume any responsibility in subsequent arrangements, you shall be fully responsible for your use of the results of the work, and you agree to indemnify and hold me harmless in connection with any claim relating to your use of such results. 5. Coaching, which is not advice, therapy or counseling, may address specific personal and professional projects, work/life balance, performance-related initiatives and/or general conditions in the Client’s personal or professional life. Other Coaching services may include leadership development, values clarification, brainstorming, resource allocation, strategic planning and a process of examining various modes of operating in life. 6. A Coaching relationship focuses on the Client taking action. The Client is ready, willing and able to take action and accepts full responsibility for the outcomes of his/her choices and actions. The Client understands that change is a process that occurs over time. 7. If at any time the Client feels the relationship is not meeting their expectations, the Client agrees to speak directly with the Coach in order to rekindle the relationship. 8. Either party may at any time and without cause terminate this arrangement by giving thirty (30) days written notice of termination to the other party. In the event of such termination, you will pay for all services rendered by August Leming through to the date of termination or through 1 month whichever is greater. Should the Client and/or Coach decide to discontinue the coaching relationship, the Client will use the final coaching appointment as a “completion” session.
